Manup ("Manup" or "We" or "Our") offers registered personnel ("Referrer" or "You" or "Your") the opportunity to participate in its referral program (the "Program"). By participating in the Program, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms and Conditions, you are not authorized to participate in the Program in any other manner.

You are entitled to a $50 gift card for every 5 qualified referrals. This gift card can only be used for the purchase of items on the Manup Merchandise store. On no occasion can the gift card be redeemed as cash or used for purchase of items from any other store. The gift card must be redeemed within 30 days.
You must comply with all relevant "SPAM" laws. Any distribution of your unique code that could constitute unsolicited commercial email or "spam" under any applicable law or regulation is expressly prohibited and will be grounds for termination of your account and exclusion from Manup's Referral Program. Manup reserves the right, at its sole discretion, to prohibit you from participating in any aspect of the Program and to void referrals and the rewards earned if Manup deems or suspects that you have engaged in or have attempted to engage in any of the following:
Manup shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Program Terms and Conditions or intent of these Program Terms and Conditions.
By participating in this Program, you fully agree that Manup has no liability to you and that you will indemnify and hold Manup harmless for any claim, action, loss or liability to you or any other person or entity due partly or wholly, directly or indirectly, by reason of your participation in the Program. You also agree that Manup is not responsible for any faulty referral code, any error, omission, interrupting, delay in transmission, technical or mechanical malfunctions, whether caused by equipment, programming, human error, or otherwise.
Manup fully disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and we reserve the right, in our sole discretion, to cancel, modify, or suspend the Program should a virus, bug, computer problem, unauthorized intervention, or other causes beyond Manup's control, corrupt the administration, security, or proper play of the Program.
Manup reserves the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned, without notice to you. We also reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions. All information collected from a user in this Program is subject to our Privacy Policy. By participating in this Program, you agree to be bound by this Privacy Policy.
MEMBERS AND PROSPECTIVE MEMBERS EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM IS AT YOUR SOLE RISK, THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND THE C OMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, PROMISES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) MANUP MAKES AND GIVES NO PROMISE THAT (i) THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.
